The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, “Terms and Conditions“), govern your access to and use of lucidum.io, including any content, functionality, and services offered on or through lucidum.io (the “Website“), whether as a guest or a registered user.
Please read the Terms and Conditions carefully before you start to use the Website. By using the Website or by clicking to accept or agree to the Terms and Conditions when this option is made available to you, you accept and agree to be bound and abide by these Terms and Conditions and our Privacy Policy, found at https://lucidum.io/privacy-policy/, incorporated herein by reference. If you do not want to agree to these Terms and Conditions or the Privacy Policy, do not access or use the Website.
This Website is offered and available to users who are 18 years of age or older and reside in the United States or any of its territories or possessions. By using this Website, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.
Changes to the Terms and Conditions
We may revise and update these Terms and Conditions from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms and Conditions.
Subscription
Your Lucidum SaaS subscription will continue and automatically renew until terminated. To use the Lucidum SaaS service you must have internet access and provide us with one or more Payment Methods. “Payment Method” means a current, valid, accepted method of payment, as may be updated from time to time and which may include payment through your account with a third party. You must cancel your membership before it renews in order to avoid billing of the subscription fees for the next billing cycle to your Payment Method (see “Cancellation” below).
Billing and Cancellation
Billing Cycle. The subscription fee for the Lucidum SaaS service and any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged to your Payment Method on the specific payment date indicated on the “Account” page. Subscription fees are fully earned upon payment. In some cases your payment date may change, for example if your Payment Method has not successfully settled, when you change your subscription plan or if your paid subscription began on a day not contained in a given month. We may authorize your Payment Method in anticipation of subscription or service-related charges through various methods, including authorizing it up to approximately one month of service as soon as you register.
Payment Methods. To use the Lucidum SaaS service you must provide one or more Payment Methods. You authorize us to charge any Payment Method associated to your account in case your primary Payment Method is declined or no longer available to us for payment of your subscription fee. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the service until we have successfully charged a valid Payment Method. For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Check with your Payment Method service provider for details.
Updating your Payment Methods. You can update your Payment Methods by going to the “Account” page. We may also update your Payment Methods using information provided by the payment service providers. Following any update, you authorize us to continue to charge the applicable Payment Method(s).
Cancellation. You can cancel your Lucidum SaaS service membership at any time, and you will continue to have access to the Lucidum SaaS service through the end of your billing period. To cancel, go to the “Account” page on our lucidum.io website and follow the instructions for cancellation. If you cancel your Lucidum SaaS service membership, your account will automatically close at the end of your current billing period.
Changes to the Price and Subscription Plans. We may change our subscription plans and the price of our service from time to time. We will notify you at least one month before any price changes or changes to your subscription plan will become effective. If you do not wish to accept the price change or change to your subscription plan, you can cancel your membership before the change takes effect.
No Refunds. Payments are nonrefundable and there are no refunds or credits for partially used subscription periods. Following any cancellation, however, you will continue to have access to the Lucidum SaaS service through the end of your current billing period.
Intellectual Property Rights
The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
- You may store files that are automatically cached by your Web browser for display enhancement purposes.
- If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

Limitation on Liability

THE CUMULATIVE LIABILITY OF LUCIDUM TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THIS AGREEMENT OR FROM YOUR USE OF OR INABILITY TO USE THE APPLICATION, INCLUDING, WITHOUT LIMITATION, ANY CAUSE OF ACTION SOUNDING IN CONTRACT, TORT, OR STRICT LIABILITY, WILL NOT EXCEED THE LICENSE FEES PAID OR PAYABLE BY YOU TO LUCIDUM IN THE SIX (6) MONTHS PRECEDING THE CAUSE OF ACTION. THE LIMITATIONS IN THIS SECTION ARE INTENDED TO APPLY WITHOUT REGARD TO WHETHER OTHER PROVISIONS OF THIS AGREEMENT HAVE BEEN BREACHED OR HAVE PROVEN INEFFECTIVE. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
You acknowledge and agree that the disclaimers, exclusions and limitations of liability set forth in this Section form an essential basis of these Terms and Conditions and that, absent any of these disclaimers, exclusions or limitations of liability, the terms of these Terms and Conditions including, without limitation, the economic terms, could be substantially different.
Indemnification
You agree to defend, indemnify and hold harmless Lucidum, its subsidiaries, affiliates, independent contractors, service providers and consultants, and their respective directors, employees and agents, from and against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys’ fees) arising out of or related to your breach of these Terms and Conditions or any other Lucidum terms, policies, or agreements, including your breach or alleged breach of any representation or warranties under these Terms and Conditions, or from any acts or omissions by you in connection with your use of the Lucidum SaaS service.
Governing Law; Disputes; Arbitration These Terms and Conditions will be governed by the internal laws of the State of Delaware, without regard to its conflicts of laws rules. The United Nations Convention on Contracts for the International Sale of Goods will not apply. In the event of any controversy or dispute between you and Lucidum arising out of or in connection with these Terms and Conditions, the parties shall attempt, promptly and in good faith, to resolve any such dispute. The parties shall discuss the problem and negotiate in good faith in an effort to resolve the dispute without necessity of any formal proceeding relating thereto. If, within thirty (30) days of their first communication, the parties have not resolved the dispute (the day after such period expires shall be deemed the “Arbitration Date”), the parties shall immediately thereafter submit the dispute to binding arbitration in accordance with the Commercial Arbitration Procedures of JAMS then in effect. The parties shall mutually choose a single commercial arbitrator with substantial experience in resolving complex commercial contract disputes, whom may or may not be selected from the appropriate list of JAMS arbitrators. If the parties cannot agree upon the arbitrator win fifteen (15) days following the Arbitration Date, then a single arbitrator shall be selected in accordance with the Arbitration Rules and Procedures of JAMS, provided any arbitrator so selected shall have substantial experience in the software industry. The arbitrator shall have the authority to grant specific performance and to allocate between the parties the costs of arbitration (including service fees, arbitrator fees and all other fees related to the arbitration) in such equitable manner as the arbitrator may determine. The prevailing party in the arbitration shall be entitled to receive reimbursement of its reasonable expenses incurred in connection therewith. Judgment upon the award so rendered may be entered in a court having jurisdiction or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be. Notwithstanding the forgoing, Lucidum shall have the right to institute an action in a court of proper jurisdiction for preliminary injunctive relief pending a final decision by the arbitrator, provided that a permanent injunction and damages shall only be awarded by the arbitrator. In any action or proceeding to enforce rights under these Terms and Conditions, the prevailing party shall be entitled to recover costs and reasonable attorneys’ fees. The federal and state courts located in Delaware will have proper and exclusive jurisdiction and venue with respect to any disputes arising from or related to the subject matter of this Agreement. For purposes hereof, “including” means “including without limitation”.
Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Waiver and Severability
Any failure by Lucidum to insist upon or enforce strict performance by you of any of the provisions of these Terms and Conditions or to exercise any of Lucidum’ rights or remedies under these Terms and Conditions or otherwise by law will not be construed as a waiver or relinquishment to any extent of Lucidum’ right to assert or rely upon any such provision, right, or remedy in that or any other instance; rather the same will be and remain in full force and effect.
If a court holds that any provision or part of these Terms and Conditions is invalid or unenforceable under applicable law, the court will modify the provision or part to the minimum extent necessary to make it valid and enforceable, or if it cannot be made valid and enforceable, the court will sever and delete the provision or part from these Terms and Conditions. Any change to or deletion of a provision or part of these Terms and Conditions under this Section will not affect the validity or enforceability of the remainder of these Terms and Conditions, which will continue in full force and effect.
Entire Agreement
The Terms and Conditions and our Privacy Policy constitute the sole and entire agreement between you and Lucidum regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
